TALENT DATABASE TERMS AND CONDITIONS OF USE The talent database (Database) is designed and maintained by Eau Claire Area Economic Development Corporation (EDC) to facilitate the matching of professional talent with career, business and technology opportunities in western Wisconsin. The Database allows users seeking opportunities (Talent Users) to create talent profiles (Talent Profiles) and makes those Talent Profiles available to subscribers (Employer Users) who have the ability to contact Talent Users. Talent Profiles are also available to non-subscribers but those users don’t have the ability to contact Talent Users. Talent Users have the option to hide their profiles from both subscriber and non-subscribers but still receive the electronic communications of the SMARTT Network. Talent Users and Employer Users are collectively referred to herein as Users. This page states the Terms of Use (Terms) under which Users accesses and utilize the Database. Please read these Terms carefully. By using the Database, Users agree to be bound by these Terms. The Database may be used only for lawful purposes by Talent Users seeking economic opportunities including but not limited to career, business or technology opportunities and Employer Users seeking employees, investors, and business partners. EDC specifically prohibits any other use of the Database. By using the Database, Users acknowledge, agree and understand as follows: 1. Users are solely responsible for all information posted as part of Talent Profiles. Users represent and warrant that they have all necessary legal rights to post the content/information contained in Talent Profiles, including moral rights in any such content/information. By posting Talent Profiles, Users automatically grant to EDC an irrevocable, royalty-free, perpetual, fully paid non-exclusive, worldwide right to use, copy reproduce, modify, adapt, publish, translate, communicate to the public, perform, display, and distribute the information contained in the Talent Profiles (in whole or in part) and to prepare derivative works of, or incorporate into other works (in any form, media or technology now known or later developed, for the full term of any rights that may exist in such content), the content of the Talent Profiles, and to grant and authorize sub-licenses thereof. 2. Users will not post or submit as part of Talent Profiles any information that is incomplete, false, misleading, inaccurate, or is not Users own. Posting or submitting incomplete, false or inaccurate information, or information that is not Users own, shall be grounds for EDC to terminate Users rights to use the Database and may be grounds for termination of employment should a User secure employment through the Database. 3. EDC does not represent or guarantee the truthfulness, accuracy, or reliability of Talent Profiles or any other communications posted by Users to the Database or endorse any opinions expressed by Users on the Database. Users acknowledge that any reliance on material posted by other Users will be AT USERS OWN RISK. 4. Users will not send unsolicited mail or e-mail, make unsolicited phone calls or send unsolicited faxes to any other Users of the Database. 5. The Database is a passive conduit for the online distribution of Talent Profiles posted by Users and EDC has no obligation to screen Talent Profiles for content. However, EDC may review and remove any User Profiles that EDC, in its sole judgment violates these Terms, violates applicable laws, rules or regulations, is abusive, disruptive, offensive or illegal, or violates the rights of, or harms or threatens the safety of any other Users. EDC reserves the right to expel Users and prevent their further access to the Database for violating the Terms or applicable laws, rules or regulations. EDC may take any action with respect to Talent Profiles if it believes that such Talent Profiles could create liability for EDC, damage to EDCs brand or public image, or cause EDC to lose (in whole or in part) its customers/clients, or the services of its ISPs or other suppliers. 6. Any information posted by Users to editable public fields of the Database may be viewed by other Users. EDC shall not be responsible should User post personally identifying information in any editable public fields of the Database. THESE TERMS CONSTITUTE A BINDING AGREEMENT BETWEEN USERS AND EDC, AND ARE ACCEPTED BY USERS BY THEIR USE OF THE DATABASE.
